Chief Legal Counsel

We are looking for a senior lawyer to lead our Legal and Compliance Team. You will be responsible for providing business-focused legal advice supporting BKV’s global activities. You will be working closely with other business functions and our management team in a challenging international environment. Legal and Compliance is part of our Business Support Function and you will be reporting to the President and be an integral part of the management team. The position is based in Darmstadt, Germany with a requirement for business travel from time to time, as appropriate.

Your responsibilities

  • Supporting the business globally in day-to-day legal matters including international customer and supplier agreements, software licences, complex and high value EPC contracts, consultancy arrangements, tender reviews, R&D agreements
  • Supporting our R&D and Sales Department on commercial and intellectual property law matters (MOUs, NDAs, Collaboration Agreements etc.)
  • Compliance management to support the management team to ensure BKV and Spectris Group operate with absolute integrity and in compliance with all relevant regulations, including in relation to anti-bribery and corruption, trade practices (including export control and sanctions) data privacy and anti-trust
  • Dealing with special projects like implementation of structured compliance projects over the group, involving multiple functions and departments
  • Managing company secretarial matters for all BKV legal entities globally
  • Instruction and management of external legal counsel where required
  • Supporting insurance renewals
  • Dispute resolution / litigation management

Your profile

  • Qualified practicing lawyer with a minimum of 6 years’ relevant experience from a recognized international law firm and/or international in-house legal position, ideally in a technology or engineering company with experience of long-term EPC / construction contracts in the Oil & Gas / Renewable sectors
  • Experience with high value, complex international commercial contracts
  • Fluent in German and English, including proficient English legal drafting skills; skills in other languages will be an advantage
  • While training can be provided, a basic understanding of EU & US regulation of anti-bribery and corruption, trade practices (including export control and sanctions) data privacy and anti-trust
  • You are familiar working with many different stakeholders and at different levels of an organization
  • You have a robust, proactive and commercial approach to legal issues with a focus on cooperation and achieving balanced results
  • Your work approach is very structured, and a proficient self-organization is important for you
  • You dispose of advanced communication and presentation skills and like sharing ideas and concepts with the team
  • You are self-driven and target-oriented as a stand-alone specialist
  • You have the ambition to become a trusted adviser to the organization ensuring that the Legal and Compliance Department creates value and contributes to BKV’s business objectives while mitigating risk and ensuring compliance
