Independent asset manager located in Hamburg is seeking a German-English speaking M&A Analyst / Associate to join their team.

M&A Analyst / Associate

As Investment M&A Associate you will be in charge of the complete M&A process including transaction execution, assisting contract negotiations and manage the due diligence process. You will be responsible for managing client interfaces, taking responsibility for the day to day project management and delivery of M&A transactions. This will include managing all phases of the transaction cycle and deal execution. You will also work closely with various external advisors and financing partners.

Your responsibilities will include:

  • Participate in the negotiations of all terms of the transactions
  • Assisting in contract negotiations/drafting (e.g. SPA, EPC, O&M, Facilities Agreement)
  • Manage legal due diligence process including data room and Q&A organization
  • Managing interactions with external lawyers, bankers, project developers and financial advisors
  • Review of Financial Models and legal implementation of commercial items (e.g. purchase price adjustments)
  • Negotiation of other basic transaction documents (e.g. confidentiality agreements, heads of terms)
  • Ownership of deal and financing execution
  • Managing transaction closings and internal integration of executed contracts

Key requirements:

  • Degree in Law, Business, Accounting or Finance with a strong academic background
  • At least 3-4 years of relevant work experience in Legal, Finance, M&A or Advisory
  • Strong analytical skills and quantitative capabilities
  • Ability to work independently, under pressure and meet deadlines
  • Strong attention to detail and quantitatively oriented
  • Excellent team work
  • Strong verbal and written communication skills in English and German are mandatory
  • Further language skills are beneficial
  • Experience in renewables is beneficial
